MLOGO - GESTÃO E PROMOÇÃO IMOBILIÁRIA, LDA.

Certifica que entre João Arruda Morgado, Maria da Graça Moniz Amarelo Morgado, André Filipe Amarelo Morgado e Barbara Daniela Amarelo Morgado foi constituída a sociedade em epígrafe que se rege pelo seguinte contrato:
Artigo 1.º
A sociedade adopta a firma MLOGO - GESTÃO E PROMOÇÃO IMOBILIARIA, LDA., e tem a sua sede no Parque Industrial da Chã do Rego d' Água, Rua A, 1, na freguesia do Cabouco do concelho de Lagoa Açores.
Parágrafo único: Por simples deliberação da gerência, a sociedade poderá deslocar a sede social dentro do mesmo concelho ou para concelho limítrofe.
Artigo 2.º
A sociedade tem por objecto: Gestão e promoção imobiliária, compra de prédios, revenda dos adquiridos para esse fim, compra e venda de participações sociais.
Artigo 3.º
O capital social, realizado integralmente em dinheiro, é de trezentos mil euros, encontra-se dividido em quatro quotas, sendo duas quotas iguais de valor nominal de cento e cinco mil euros, cada pertencente uma a cada um dos sócios João Arruda Morgado e Maria da Graça Moniz Amarelo Morgado e outras duas iguais de valor nominal de quarenta e cinco mil euros, cada, pertencente uma a cada um dos sócios André Filipe Amarelo Morgado e Bárbara Daniela Amarelo Morgado.
Artigo 4.º
A sociedade poderá exigir, em cada momento vigente, prestações suplementares de capital aos sócios João Arruda Morgado e Maria da Graça Moniz Amarelo Morgado, até à concorrência de dois milhões e quinhentos mil euros a cada um dos referidos sócios. Poderá ainda a sociedade contratar dos sócios a prestação de suprimentos.
Artigo 5.º
1 - A administração da sociedade, bem como a sua representação em juízo e fora dele, incumbe aos gerentes que são designados por deliberação dos sócios tomada por qualquer das formas previstas no código das sociedades comerciais.
2 - Ficam desde já nomeados gerentes os sócios João Arruda Morgado e Maria da Graça Moniz Amarelo Morgado.
3 - A sociedade fica vinculada em quaisquer actos ou contratos pela assinatura de um gerente nomeado no contrato ou por forma diversa que venha a ser estabelecida...
